BOC+ is shipped as a two (2) part system, Part A, 100 lb. fiber drum containing a dry mixture of oxygen releasing material and Part B, 5 gal. bucket, containing 4 gals. of nutrients, surfactants, wetting agents, carbon sources and other compounds that promote microbial growth. BOC+ is sold as a unit, Parts A & B.  Minimum  Order  1- Unit - Total weight 127 lbs.

DHC+ is shipped in 5 gal. buckets  For Minimum order, call BioRenova. 

Chloroclean - Inoculum  is shipped in 5 gal. buckets only   For Minimum order, call BioRenova.

 Freight - All shipments from BioRenova are FOB Chicago, IL. or Melrose Park, IL
Shipments shall be by common carrier in box trailer. Cost of shipping to be borne by purchaser.

Payment Terms - Standard payment terms are Net 10 Days from date of invoice, pending approved credit, unless other wise approved. Accounts outstanding after 30 days will be assessed 1.5% monthly (18% annually). Credit card purchases are accepted (Visa, Amex, MasterCard).

Return Policy - A 15% re-stocking fee will be charged for all returned goods. Return freight must be prepaid. All requests to return product must be approved by BioRenova. Returned product must be in unopened original container and no product will be accepted for return after a period of 30 days from time of delivery.

TERMS of SALE

1. LIABILITY AND LIMITATION OF LIABILITY. Seller shall not be liable for loss or damage of any kind resulting from delay or inability to deliver, manufacture and/or causes on account of, including but not limited to acts of God, acts of the Buyer, acts of the Seller, acts of military or civil authorities, fires, strikes, flood, epidemic, war, riot, delays in transportation or car shortages, or inability to obtain necessary labor, materials, components or services through Seller's usual and regular sources at usual and regular prices. In any event, Seller may, with or without notice to Buyer, postpone the delivery under this contract or make partial delivery or cancel all or part of the contract without further liability to Seller. Notwithstanding this provision, Buyer shall be responsible for payment for any product delivered hereunder. 

Seller's liability for any claim of any kind, including negligence, for any loss or damage arising out of or in connection with, or resulting from the sale, manufacture, delivery, resale or use of the product, shall in no case exceed the lesser of the cost of replacing the product or the price of the product as originally delivered.

2. PAYMENT TERMS. Buyer shall pay BioRenova (Seller) net amount of invoice in full within ten (10) days of date of invoice. If Seller determines that the financial condition of Buyer does not justify continuance of production or shipment on the terms of payment specified, Seller may require full or partial payment in advance.

3. SHIPMENT. All prices are F.O.B., Chicago, Illinois. Seller shall choose method and route of shipment, unless Buyer supplies explicit instructions. All shipments are insured at the Buyer's expense and made at the Buyer's risk.

4. QUOTATION AND PRICES. Prices are subject to change without notice, and orders calling for future delivery will be billed according to the price in effect at the time of delivery. Written quotations automatically expire thirty (30) calendar days from the date issued and are subject to termination by notice within that period.

5. TAXES. Buyer shall be responsible for all taxes and/or duties imposed by any city, state, federal or other governmental authority. Buyer further agrees to indemnify and hold Seller harmless for any and all liabilities for such taxes or duties and any legal fees or court costs incurred.

6. CANCELLATION. Any order placed by Buyer with and accepted by Seller can only be canceled with Seller's consent and upon terms that will reimburse Seller for any loss.

7. RETURNED PRODUCT. No product can be returned without first obtaining Seller's permission. Seller will only consider for return unused product as currently manufactured, which Seller has invoiced to Buyer within ninety days. Product accepted for return is subject to a minimum charge of fifteen percent (15%), plus all transportation charges. Buyer is responsible to securely package all product accepted for return. All products must be in original, unopened container. 

8. LIMITED WARRANTY. Seller warrants that the product BOC+ sold to Buyer is made as specified on the face of the invoice. Seller makes no other warranties of any kind and expressly DISCLAIMS ALL OTHER WARRANTIES OF WHATEVER KIND WITH RESPECT TO THE PRODUCT, INCLUDING ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BUYER'S SOLE REMEDY FOR BREACH OF THIS LIMITED WARRANTY SHALL BE A REFUND OF THE PURCHASE PRICE, PROVIDED THAT THE UNUSED PRODUCT IS RETURNED TO THE SELLER IN THE ORIGINAL CONTAINERS AND WITHIN 15 DAYS OF WRITTEN ACCEPTANCE BY SELLER. 

9. INDEMNIFICATION. Buyer agrees to indemnify and hold Seller harmless from any and all claims and liabilities against Seller in connection with the manufacture, sale or use of the product herein arising in whole or in part by reason of Buyer, its agents, customers or employees' failure to comply with federal, state or local laws and regulations pertaining to the products, or arising out of the negligence or misuse of the product by the Buyer, its agents, customers or employees, including the Occupational Safety and Health Act (OSHA) of 1970.

10. ENFORCEMENT. In the event Seller commences an action to collect amounts due from Buyer or enforce its rights hereunder, Buyer agrees to pay all Seller's expenses, including all attorneys' fees, court costs and pre-judgment interest. The parties agree that this contract is to be interpreted in accordance with Illinois law, and the Buyer confers jurisdiction upon the Illinois courts and agrees to venue in the Circuit Court of Cook County, Illinois.

11. ENTIRE AGREEMENT. This agreement constitutes the entire contract between the Seller and the Buyer relating to the products or services identified herein. No modifications shall be binding unless reduced to writing and signed by both parties, and no modifications shall be affected by Seller's acknowledgment or acceptance of Buyer's purchase order forms containing different provisions. No waiver by either party of default shall be deemed a waiver of any subsequent default

12. ASSISTANCE AND ADVICE. Upon the Buyer's request, Seller in its discretion will furnish as an accommodation to Buyer such technical advice or assistance as is available in reference to BOC+.   Seller assumes no obligation or liability for the advice or assistance being given and accepted at Buyer's risk.
